1. Acceptance of These Terms

These Terms & Conditions ("Terms") are a legally binding agreement between you and ResellRent. They apply to your use of the ResellRent website, mobile application and related services (together, the "Platform"). By creating an account, posting a listing or otherwise using the Platform, you agree to these Terms and to our Privacy Policy. If you do not agree, please do not use the Platform.

These Terms are an electronic record under the Information Technology Act, 2000 and the rules made under it, and do not require any physical or digital signature.

2. About ResellRent

ResellRent is an online marketplace that lets users list, discover, buy, sell and rent heavy equipment, machinery and related goods. ResellRent acts only as an intermediary that hosts listings and helps users connect with each other.

• ResellRent is not a buyer, seller, owner, renter, dealer, broker or agent for any equipment listed on the Platform.
• ResellRent does not own, inspect, certify, store or deliver any equipment.
• ResellRent is not a party to any sale, rental or other agreement between users, and does not collect or hold payments for those agreements.
• Any deal you make on or through the Platform is solely between you and the other user.

3. Eligibility

You must be at least 18 years old and legally able to enter into a binding contract under the Indian Contract Act, 1872 to use the Platform. If you use the Platform on behalf of a business, you confirm that you are authorised to accept these Terms on its behalf, and "you" includes that business.

4. Your Account

• You can sign in with your mobile number using a one-time password (OTP), or with your Google account.
• You must give accurate, current and complete information and keep it up to date.
• You are responsible for all activity on your account. Never share your OTP with anyone. ResellRent will never ask you for it.
• Tell us immediately at resellrent@gmail.com if you believe your account has been used without your permission.
• You may not create an account using someone else's identity or mobile number, or create multiple accounts to get around a suspension.

5. Posting Listings

When you post a listing to sell or rent equipment, you confirm and agree that:

• You own the equipment or are legally authorised to sell or rent it.
• The equipment is not stolen and is not subject to any undisclosed loan, hypothecation, lien, lease, legal dispute or government seizure.
• All details in your listing, including the description, specifications, year, hours of use, condition, price and location, are true, accurate and not misleading.
• The photos, videos and documents you upload show the actual equipment being offered and do not infringe anyone else's rights.
• You hold, and will provide to the buyer or renter when required, the documents needed for the deal, such as the invoice, registration certificate, insurance, permits and tax records.
• You will update or remove the listing promptly once the equipment is sold, rented out or no longer available.
• Your listing and the deal comply with all applicable laws, including laws on vehicle and equipment registration, transfer of ownership, taxes and GST.

Listings may be reviewed before or after they go live. ResellRent may approve, reject, edit for formatting or categorisation, hide or remove any listing at its discretion, including any listing that we believe breaks these Terms or the law. Reviewing a listing does not mean that ResellRent has verified or endorses it.

6. Buying and Renting Equipment

If you buy or rent equipment found on the Platform, you are responsible for your own checks. Before paying any money, you should:

• Inspect the equipment in person, or have a qualified mechanic inspect it.
• Verify the identity of the seller or owner and their right to sell or rent the equipment.
• Check the original documents, including the invoice, registration certificate, insurance and any loan or hypothecation records.
• Agree in writing on the price, payment schedule, delivery, and transfer of ownership and registration.

For rentals, the owner and renter are responsible for agreeing between themselves on the rental period, charges, security deposit, operator, fuel, transport, maintenance, insurance and liability for damage, loss or accidents. ResellRent is not responsible for the condition, safety, legality or performance of any equipment, or for any loss arising from a sale or rental.

7. Payments and Fees

All payments for equipment, rentals, deposits, transport and related services are made directly between users. ResellRent does not collect, hold, guarantee or refund these payments, and is not liable for any payment dispute between users.

Creating an account and posting listings is currently free. We may introduce paid features in the future, such as featured or promoted listings. If we do, we will show the applicable fees and terms clearly before you pay.

8. Stay Safe

• Never pay an advance, token amount or deposit to someone you have not met and whose identity and ownership you have not verified.
• Be cautious of prices that look too good to be true, urgent payment requests or requests to move the conversation to another platform.
• Never share your OTP, bank details, UPI PIN or card details with anyone.
• Meet in a safe, public place or at a verified business location when inspecting equipment.

If you come across a suspicious listing or user, please report it to us at resellrent@gmail.com. In case of fraud, also report it to your local police or the National Cyber Crime Reporting Portal (cybercrime.gov.in) or helpline 1930.

9. Prohibited Content and Conduct

You must not use the Platform to post, share or do any of the following:

• List stolen, counterfeit or illegally imported equipment, or anything whose sale or rental is prohibited by law.
• Post fake, duplicate, misleading or bait listings, or listings for equipment you do not have.
• Impersonate any person or business, or misrepresent your relationship with them.
• Harass, threaten, abuse or defraud other users, or send spam or unsolicited promotions.
• Upload content that is obscene, defamatory, hateful, invasive of privacy, or that infringes any copyright, trademark or other rights.
• Upload viruses or malicious code, or try to gain unauthorised access to the Platform, other accounts or our systems.
• Scrape, copy or collect data from the Platform, including other users' contact details, using automated means without our written permission.
• Use other users' contact details for any purpose other than the listing they relate to.
• Post any content prohibited under Rule 3(1)(b) of the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, or any other applicable law.

10. Communications

When you post a listing, your name and mobile number are shown on it so that interested users can contact you by phone or through chat on the Platform. You agree to receive calls and messages from users who are interested in your listings.

You also agree that ResellRent may contact you by SMS, phone, email or in-app notifications about your account, listings, chats and security, even if your number is registered on the National Do Not Call (DND) registry. You may opt out of promotional messages at any time.

We may review chat messages, using automated tools or manually, to prevent fraud, spam and abuse, to investigate reports, and to enforce these Terms.

11. Your Content

You keep ownership of the content you post, such as listing text, photos, videos and documents. By posting it, you give ResellRent a non-exclusive, royalty-free, worldwide licence to host, store, display, reproduce, resize, format and distribute that content on the Platform and in our marketing (for example, featuring your listing on social media), for as long as it remains on the Platform and for a reasonable period afterwards. You confirm that you have all the rights needed to grant this licence.

12. Listings Sourced From Other Websites

Some listings on the Platform may be compiled from equipment listings that were publicly available on other websites. ResellRent does not verify these listings and does not guarantee that they are accurate, current or still available. If you own such a listing, or your details appear on it, you can ask us to correct, take over or remove it by writing to resellrent@gmail.com.

13. Intellectual Property

The ResellRent name, logo, website and app design, software and all content on the Platform, other than content posted by users, belong to ResellRent or its licensors and are protected by law. You may not copy, modify, distribute, sell, reverse engineer or create derivative works from any part of the Platform without our prior written permission.

If you believe any content on the Platform infringes your intellectual property rights, please write to resellrent@gmail.com with details of the content and your rights, and we will review and act on your complaint.

14. Disclaimer

The Platform is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, ResellRent makes no warranties or representations of any kind, express or implied, about the Platform, any listing, any user, or any equipment, including about its quality, condition, safety, legality, ownership, fitness for a particular purpose, or the accuracy of any listing. We do not guarantee that the Platform will be uninterrupted, secure or error-free.

15. Limitation of Liability

To the maximum extent permitted by law, ResellRent and its directors, employees and partners will not be liable for any indirect, incidental, special or consequential loss, or for any loss of profits, business, revenue, data or goodwill, arising from your use of the Platform or from any deal, communication or dispute between users. ResellRent's total liability to you for any claim relating to the Platform will not exceed the amount you have paid to ResellRent, if any, in the 12 months before the claim arose.

16. Indemnity

You agree to indemnify and hold harmless ResellRent and its directors, employees and partners from any claims, losses, damages, penalties and expenses (including reasonable legal fees) arising out of your listings or content, your dealings with other users, your breach of these Terms, or your violation of any law or the rights of any third party.

17. Suspension and Termination

You can stop using the Platform and request deletion of your account at any time. We may suspend or terminate your account, remove your listings or restrict your access to the Platform, with or without notice, if we believe you have breached these Terms, acted fraudulently, harmed other users, or if we are required to do so by law. Sections of these Terms that by their nature should continue after termination, including those on your content, disclaimers, limitation of liability, indemnity and governing law, will continue to apply.

18. Third-Party Links and Services

The Platform may contain links to, or use services from, third parties, such as Google Maps and Google Sign-In. ResellRent does not control and is not responsible for third-party websites or services, and your use of them is governed by their own terms and privacy policies.

19. Changes to These Terms

We may update these Terms from time to time. When we make significant changes, we will update the "Last Updated" date above and, where appropriate, notify you on the Platform or by SMS or email. Continuing to use the Platform after the changes take effect means you accept the updated Terms.

20. Governing Law and Disputes

These Terms are governed by the laws of India. Any dispute arising out of or relating to these Terms or the Platform will be subject to the exclusive jurisdiction of the courts in Odisha, India. Before going to court, we encourage you to contact us so that we can try to resolve the issue informally.

21. Grievance Officer

In accordance with the Information Technology Act, 2000 and the rules made under it, you can report any complaint about the Platform, a listing, another user or a breach of these Terms to our Grievance Officer at resellrent@gmail.com. We will acknowledge your complaint within 24 hours and aim to resolve it within 15 days of receiving it.
